Registration Terms & Conditions

Please read these Registration Terms & Conditions (“Terms”) carefully before creating an account or subscribing to any package on Keyrox.net (“Platform”). By registering for an account or purchasing a subscription, you (“User” or “you”) agree to be bound by these Terms in full. If you do not agree with any part of these Terms, you must not register for or use our services.
1. Definitions
1.1 “Account” means the individual user profile you create on the Platform, linked to your email address and password.
1.2 “Subscription” means any paid plan or package you purchase, including Starter, Professional, or Enterprise tiers.
1.3 “Content” means any data, text, images or other material you upload or generate via the Platform.
1.4 “Service” or “Services” refers to all features made available through UltimatePOS on the Platform, including but not limited to sales tracking, inventory management, invoicing, multi-location support, and reporting.
2. Account Registration
2.1 Eligibility. You must be at least 18 years old, have the legal capacity to enter into contracts in your jurisdiction, and not be barred from receiving services by applicable law.
2.2 Registration Data. You agree to provide accurate, complete, and up-to-date information during registration, including a valid email address and payment details. You must promptly update your Account information to keep it current.
2.3 Account Security. You are solely responsible for safeguarding your password and account credentials. You agree to notify Keyrox.net immediately of any unauthorized use of your Account or any other breach of security.
3. Subscriptions & Billing
3.1 Subscription Activation. Subscriptions commence on the date you complete checkout and are billed in advance according to your chosen interval (monthly or yearly).
3.2 Automatic Renewal. Unless you disable auto-renewal in your dashboard at least 3 days before your next billing date, your Subscription will automatically renew for the same term and at the then-current rate.
3.3 Price Changes. Keyrox.net may update subscription fees at renewal. We will provide at least 30 days’ notice of any change in pricing. Continued use after such notice constitutes acceptance of the new fee.
4. No Refund Policy
4.1 All payments are final. Once you subscribe or renew, you expressly agree there will be no refunds, prorated or otherwise, under any circumstances—even if you cancel mid-term.
4.2 You may cancel your auto-renewal preferences at any time; however, cancellation does not entitle you to a refund of fees already paid.
5. User Obligations & Conduct
5.1 Lawful Use. You agree not to use the Service for any unlawful or unauthorized purpose, including infringing intellectual property rights or transmitting harmful code.
5.2 Data Integrity. You are responsible for maintaining your backups. Keyrox.net does not guarantee data recovery in the event of loss, corruption, or deletion.
6. Intellectual Property & License
6.1 Platform Ownership. All software, design, text, graphics, and other materials on Keyrox.net are owned by Keyrox.net or its licensors and are protected by copyright and other intellectual property rights.
6.2 Limited License. Subject to your compliance with these Terms, Keyrox.net grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes only.
7. Suspension & Termination
7.1 Termination by You. You may terminate your Subscription at any time via your Account dashboard; termination is effective at the end of your current billing cycle.
7.2 Termination by Keyrox.net. Keyrox.net may suspend or terminate your Account and access to Services immediately, without notice, for any breach of these Terms or misuse of the Platform.
7.3 Effect of Termination. Upon termination, your right to access or use the Service ends immediately. Any data remaining on our servers may be deleted within 30 days; you are responsible for exporting or backing up your data prior to termination.
8. Warranty Disclaimer & Limitation of Liability
8.1 Disclaimer. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
8.2 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYROX.NET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA OR DATA USE. KEYROX.NET’S AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
9. Changes to Terms
Keyrox.net reserves the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Platform and/or sending you an email at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the courts of Lisbon, Portugal.
